Terms of Use

Groundzero Software Pvt. Ltd.

Introduction

Welcome to Groundzero Software Pvt Ltd (“Groundzero”). These Terms of Use (“Terms”) govern your access to and use of our Groundzero Unified Data Analytics Platform, including all associated services and software (collectively, the “Platform”). By using the Platform, you agree to comply with these Terms. If you do not agree with any part of these Terms, please do not use the Platform.

Eligibility

To use the Platform, you must be at least 18 years old and capable of entering into a legally binding agreement. By using the Platform, you represent and warrant that you meet these eligibility requirements.

User Account

To access the Platform, you will be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Groundzero immediately of any unauthorized use of your account.

Use of the Platform

You are granted a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes. You agree not to:

  • Use the Platform in any unlawful manner or for any unlawful purpose.
  • Engage in any activity that interferes with or disrupts the Platform or the servers and networks connected to it.
  • Reverse engineer, decompile, or disassemble the Platform or any of its components.
  • Use the Platform to upload, transmit, or distribute any harmful or illegal content.

Payment and Billing

    If the Platform requires payment, you agree to pay all fees associated with your use of the Platform in accordance with the billing terms presented to you. Payments are due within 30 days of the invoice date, and all fees are non-refundable unless otherwise stated.

    Intellectual Property

    All intellectual property rights in the Platform, including software, design, and content, belong to Groundzero or its licensors. You agree not to copy, modify, distribute, or create derivative works based on the Platform without Groundzero’s prior written consent.

    Updates and Modifications

    Groundzero may update or modify the Platform from time to time to improve performance, add features, or comply with legal requirements. Groundzero reserves the right to make these updates automatically without prior notice. You may be required to accept the updated Terms or software updates to continue using the Platform.

    Data Privacy

    Your privacy is important to us. Groundzero’s handling of your personal data is governed by our Data Privacy Policy, which is incorporated into these Terms by reference. Please review the policy to understand how we collect, use, and protect your information.

    Limitation of Liability

    To the maximum extent permitted by law, Groundzero will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Platform. This includes any loss of data, profits, or business opportunities.

    Indemnification

    You agree to indemnify and hold harmless Groundzero and its affiliates, officers, directors, and employees from any claims, liabilities, damages, or expenses (including reasonable attorney fees) arising out of your use of the Platform or violation of these Terms.

    Governing Law

    These Terms shall be governed by and construed in accordance with the laws of
    India. If you are located outside of India, these Terms shall be governed by the laws of the jurisdiction where Groundzero is headquartered.

    Dispute Resolution

    Any disputes arising out of or in connection with these Terms shall be resolved through binding mediation in Chennai. If you are located outside of India, arbitration shall take place in a mutually agreed-upon location or via remote means.

    Non-Compete and Non-Solicitation

    You agree not to engage in any activities that compete with Groundzero’s business or solicit Groundzero’s customers or employees for competing business during your use of the Platform and for a period of 2 years thereafter.

    Third-Party Services

    The Platform may integrate third-party services, including AI tools like ChatGPT. Groundzero is not responsible for the performance, reliability, or consequences of using these third-party services. You use them at your own risk.

    Termination

    Groundzero reserves the right to terminate or suspend your access to the Platform at any time, with or without cause, and without prior notice. Upon termination, you must cease all use of the Platform and delete any copies of the software in your possession.

    Miscellaneous

      • Entire Agreement: These Terms constitute the entire agreement between you and Groundzero regarding your use of the Platform.
      • Amendments: Groundzero may amend these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the amended Terms.
      • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
      • Waiver: No waiver of any provision of these Terms will be effective unless in writing and signed by Groundzero.
      • Cancellations and refund: Any cancellations will be refunded within 7 business days
